Distance-Sales Contract

This Distance-Sales Contract (the “Contract”) is concluded electronically between the SELLER identified below and the CONSUMER (BUYER) who completes the checkout flow, under the Distance Contracts Regulation and Law No. 6502 on the Protection of the Consumer. The BUYER declares that, before accepting this Contract, they have read and accept the Pre-Contractual Information Form. This document is a DRAFT and will be reviewed by a lawyer before it takes effect.

1. Parties

The SELLER/PROVIDER is xcollective360, whose identity and contact details under Law 6563 are set out below. The BUYER is the consumer who confirms the order and initiates payment in the checkout flow; the BUYER's identity and contact details are determined by the information they provide through the payment provider.

2. Subject Matter & Scope of the Contract

The subject matter of the Contract is the provision, on the terms set out below, of the academic/educational advisory-mentorship package or workshop service that the BUYER selects in the checkout flow. The scope, duration, and delivery/performance format of the selected service are as shown in the relevant offer and in the Pre-Contractual Information Form. The services are informational and educational; no admission, visa, or scholarship outcome is guaranteed.

3. Essential Characteristics & Total Price Incl. Taxes

The essential characteristics of the service and its total price including all taxes (VAT/KDV) are shown clearly to the BUYER at the checkout step and prevail. Prices shown on the site are example/placeholder values until founder-confirmed; the binding amount is the amount at the payment step. Any currency/transaction differences that the payment provider may apply are indicated at the payment step.

4. Payment & Performance

Payment is made through the third-party payment providers presented in the checkout flow (Stripe and/or PayPal); the BUYER is redirected to a secure payment page and card details are not collected or stored by xcollective360. The service is digital/remote and performance begins with the BUYER's express consent: live 1:1 sessions and workshops at the scheduled date/time; digital content is deemed performed at the moment access is granted.

5. Right of Withdrawal & Its Exceptions

Under article 9 of the Distance Contracts Regulation, the BUYER has, as a rule, the right to withdraw within 14 days of the conclusion of the contract without giving a reason and without paying a penalty; the withdrawal notice and procedure are set out in detail in the Pre-Contractual Information Form (which forms an integral part of this Contract). The exceptions to the withdrawal right may apply to instantly-accessible digital content (art. 15/1(ğ)) and to services whose performance begins, with the BUYER's express consent, before the 14 days elapse (art. 15/1(h)). The BUYER has been expressly informed of these exceptions through the Pre-Contractual Information Form.

6. Delivery & Confirmation on a Durable Medium

The order confirmation and receipt are delivered to the BUYER on a durable medium via the receipt/confirmation email sent by the payment provider (Stripe/PayPal). The BUYER should keep a copy of this Contract and of the Pre-Contractual Information Form for their own records.

7. Default (Temerrüt) Terms

If the BUYER does not complete the payment, the order is not deemed concluded and the service is not performed. The parties' rights and obligations regarding default are subject to Law No. 6502 and the applicable legislation. The consequences where a payment is refunded/charged back by the payment provider are assessed within the framework of the applicable legislation.

8. Dispute Resolution & Governing Law

In the event of a dispute, consumers may apply, within the applicable monetary limits, to the Consumer Arbitration Committees or the Consumer Courts; the current monetary limits are announced each year by the Ministry of Trade. This Contract is governed by Turkish law. The Contract is provided in Turkish and English; under Law No. 805 the Turkish text is the authoritative and binding version, and the English text is a courtesy translation.

9. Pre-Contractual Information & Burden of Proof

The BUYER declares that, before concluding this Contract, they read the Pre-Contractual Information Form, were informed — including of the withdrawal right and its exceptions — and accept all the terms. As required by the legislation, the burden of proving that the BUYER was duly informed of the withdrawal right rests with the SELLER; the information and consent steps are therefore recorded in the checkout flow.
